Biography
Jonathan is a Partner in the Business Advisory and Foreign Investment Practice of Olaniwun Ajayi LP. Since joining OALP, Jonathan has led several high-powered financing negotiations and transactions which have shaped industry practices and has utilized his specialized knowledge in providing bespoke legal advice to various clients. He has over twenty (20) years professional experience and specializes in advising on corporate and regulatory matters across the non-governmental, insurance, energy, real estate, labor, health, hospitality and telecommunications sectors with added specializations in tax and competition law.
Jonathan has also garnered considerable experience advising multinational organisations on the areas of board and corporate governance, corporate restructurings, mergers and acquisitions, project finance and capital market transactions. Additionally, Jonathan has supervised teams providing company secretarial support to various corporate entities.
Jonathan is an Associate of the Chartered Institute of Taxation of Nigeria as well as a Fellow & Certified Management Consultant of the Institute of Management Consultants. He is a Pegasus Scholar-of-the Inner Temple, London, and a multiple prize winner.
Relevant Experience
- Led the team that advised on the acquisition of some of the privatised power companies including Benin Electricity Distribution Plc, Transcorp Ughelli Power Plc and Sapele Power Plc as well as advised the lenders on the financing of the Concession of the 1340MW Kainji/Jebba Hydro Power Plant
- Advised the International Lenders on the development, financing and construction of a 450MW open cycle gas-fired Azura independent power plant in Edo State Nigeria
- Advised the Lenders on the financing of the US$1.6 Billion greenfiled Lekki deep Sea Port PPP project with the Lagos State Government and the Nigeria Ports Authority
- Led the team that advised the preferred bidder First Investment Development Company Limited on the concessioning of the Asaba International Airport
- Advised on the acquisition of Union Bank Plc by Africa Capital Alliance
- Led the team that drafted competition compliance, governance and other corporate policies for R28 Group, a multisectoral group of companies
- Advised an indigenous oil and gas company in connection with an investigation by the Federal Competition and Consumer Protection Commission on alleged infractions of the Federal Competition and Consumer Protection Commission Act
- Advised a number of International Oil Companies, JV partners over an OML, in connection with an investigation by the Federal Competition and Consumer Protection Commission on alleged infractions of the Federal Competition and Consumer Protection Commission Act
- Advised a multinational beverage company in connection with an investigation by the Federal Competition and Consumer Protection Commission on alleged infractions of the Federal Competition and Consumer Protection Commission Act
- Assisted a major international gas company and its shareholders in conducting a forensic investigation into alleged anti-trust and competition law infractions by directors and officers of the institutions
- Provided legal advisory services to a foreign chemicals company on the provision of the Pension Reforms Act in relation to severance of Employees in Nigeria and coordinated the drafting and review of employment agreements for its employees
- Led the team that drafted and reviewed the corporate and compliance policies of Infrastructure Credit Guarantee Company, a foremost company that provides credit guarantees to market shaping infrastructure projects in Nigeria
- Advised a tier 1 Nigerian bank operating across several jurisdictions in developing its global optimal group structure and preparing the accompanying Global Governance Framework
