Relevant Experience
Finance and Capital Markets:
- Advised on the equity capital raise of up to ₦300 Billion by Zenith Bank Plc, one of Nigeria’s largest banks, through a Public Offer and Rights Issue. My key role on the deal included as follows: • reviewing various documents, including treasury, real estate, and IT documents, and conducting a physical litigation due diligence exercise at the Bank Headquarters. • updating the vending agreement intermittently, incorporating feedback from transaction parties and the Securities and Exchange Commission to ensure compliance and alignment with project objectives.
- Advised the Bank of Industry (BOI) as to matters of Nigerian law in relation to a proposed syndicated loan of up to €1,000,000,000 (One Billion Euros). My role on the deal encompassed: • analyzing the senior note agreement and agency agreement and participated in external review meetings to facilitate accurate documentation and compliance; • preparing CP draft documents for the Borrower and the Central Bank of Nigeria (CBN) and contributing to discussions during calls and meetings with transaction lawyers;
Government Business:
- Contributed to the redrafting and review of the National Digital Economy and E-Governance Bill 2024, ensuring alignment with global best practices and Nigeria’s digital transformation objectives;
