Biography

Abdulganiy is an associate in the Firm’s Mergers Acquisition and Private Equity practice group. He is a driven young lawyer with considerable experience in Corporate Finance and M & A, having had the privilege of advising on some of the largest and market-defining capital market and M & A transactions. With an unwavering dedication to excellence and passionate understanding of M & A, he brings strategic insight and legal precision to every deal he navigate.

  • Acted as Solicitor to the Offer in Zenith Bank’s NGN 290 Billion equity capital raise by way of a rights issue and a private placement
  • Acted as Solicitor to the Issuer in Fidelity Bank PLC’s NGN 29.6bn Rights Issue and NGN97.5bn Public Offer
  • Advised FBN Holdings PLC on its NGN 150 Billion rights issue
  • Advised FCMB Group Plc on its NGN 50 Billion capital raise by way of a public offer of shares.
  • Advised Gombe State in connection with the NGN 22,500,000,000 (Twenty-Two Billion Five Hundred Million Naira) 22.50% fixed rate bonds issuance due 2031 by G.O.S Management Company Limited
  • Advised the Federal Government of Nigeria (FGN) on the establishment of the USD 5 Billion Programme and the USD 500 Million dollar denominated local currency bond issuance
  • Advised Zenith Bank Plc on the proposed acquisition of 58.08% of Société Generale Cameroun from Société Generale
  • Acted for FBNH in the divestment of its entire shareholding in FBNQuest Merchant Bank from structuring and auction processes through to the execution of the share sale agreement, pending regulatory approval
  • Advised Veritas Registrars Limited on the divestment of its 49% shareholding in Prudential Zenith Life Insurance Limited
  • Advised Verod Capital affiliates (Tangerine General Insurance Ltd and Tangerine Life Insurance Ltd) on obligations under the SSPA with Liberty Holdings Ltd, assessing the potential breach of contract risks and outlining possible defenses
