Biography

‘Debola is an Associate in the Mergers, Acquisitions and Private Equity Practice of the Firm with a strong track record of advising local and multinational clients across various industries, Adebola expertly navigates complex and cross-border transactions, including but not limited to acquisitions, divestments and corporate restructuring. Adept at sharing her expertise through writing, Adebola has also authored numerous articles published in esteemed outlets such as BusinessDay, Global Legal Insights, Practical Law and SSRN.

 

Relevant Experience

  • Advised one of the largest banks in Nigeria during its bidding process for the potential acquisition of Société Générale Cameroun (recognized as the second largest bank in Cameroun in 2021)
  • Advised on the NGN21billion (circa US$33million) acquisition by FMDQ of 21% equity stake in Central Securities Clearing System Plc
  • Advised First Pensions Limited (and its parent company, First Bank of Nigeria) on the acquisition of the entire share capital of Access Pension Funds Administrator Limited and subsequent merger of both entities
  • Provided legal advisory and significant support on the conversion and transition of the Nigerian National Petroleum Corporation (a statutory corporation) into Nigerian National Petroleum Company Limited (NNPCL) (a private limited liability company registered under the Nigerian Companies and Allied Matters Act 2020) further to the signing into law of the Petroleum Industry Act 2018 and the restructuring of NNPCL and its fourteen subsidiaries into a full vertically integrated energy company
  • Advising one of Africa’s largest financial institutions headquartered in Nigeria, with over $24 billion dollars in assets on its restructuring into a holding company
  • Advised on the merger control regime in connection to Chappal Energies’ acquisition of participating interest in oil and gas assets held by TotalEnergies EP Nigeria Limited (through Telema Energies Nigeria Limited, a special purpose vehicle)
  • Advised from a Nigerian law perspective, on the legal, regulatory and competition control regime applicable to the circa US$55million acquisition by Moody’s Group Cyprus Limited, a wholly-owned indirect subsidiary of Moody’s Corporation of majority stake in Global Credit Rating Company Limited, a leading rating agency in Nigeria with affiliates in sub-Saharan Africa and led the process of filing a merger notification to and obtaining approval from the Federal Competition and Consumer Protection Commission (FCCPC) (Nigeria’s competition/anti-trust authority)
  • Advised on the competition control regime in connection with the acquisition of shares in ekaterra BVI by Puccini Bidco B.V. from Unilever International Holdings B.V., led the process of filing a merger notification to the FCCPC and obtained its approval in respect of the transaction
  • Advised on the competition control regime applicable to the acquisition by mPharma Africa B.V. of the entire share capital Idi Holdings from Alta Semper Venture Investment Limited, assisted in the merger notification filing with the FCCPC and obtained its clearance for the transaction
