• Provided comprehensive legal advice to a syndicate of lenders on the restructuring of a term loan facility granted to Accugas Limited, ensuring the alignment of interests among all stakeholders and facilitating a smooth restructuring process in compliance with applicable regulatory frameworks
• Advised a leading client on the structuring, negotiation, and documentation of project financing for the construction of a 5,000 barrels per day modular refinery, addressing key considerations related to project risk, collateral arrangements, and regulatory approvals
• Supported the negotiation, drafting, and review of Gas Sales and Purchase Agreements, ensuring contractual clarity, compliance with industry standards, and safeguarding client interests in long-term gas supply arrangements
• Provided strategic legal counsel on the proposed divestment and acquisition of interests in oil and gas mining leases, including due diligence, contractual negotiations, and risk mitigation measures to facilitate seamless transactions
• Interpreted and advised on the provisions of the Midstream and Downstream Petroleum Operations Regulations, 2023 and advising on compliance strategies
• Developed structuring options for holding interests in recently issued petroleum prospecting licences, assessing regulatory requirements and optimizing asset management
• Conducted comprehensive review of a concession agreement on behalf of a successful bidder participating in the 2024 licensing round
• Advised on the optimal structuring of crude oil marketing and sales arrangements, including drafting contractual frameworks that address pricing, delivery terms, quality specifications, and dispute resolution mechanisms
