Biography

Michael is an Associate in the Firm’s Oil and Gas practice where he regularly advises borrowers, sponsors, Development Finance Institutions (DFIs), Export Credit Agencies (ECAs), as well as local and international commercial banks on corporate finance, project finance, asset and share acquisitions, and restructuring transactions in the oil and gas sector. Since joining the firm, Michael has been involved in a wide range of matters, including the financing, development, and acquisition of upstream and midstream oil and gas assets, complex restructurings, refinancings, regulatory compliance matters, and general tax advisory.

Relevant Experience

  • Advising a syndicate of lenders including DFIs, ECAs and a suite of commercial banks on the restructuring of the c. $3.8 Billion facility for the construction of the Dangote 650,000 bpd refinery (the largest single train refinery in the world) and fertilizer plant
  • Advised NNPCL on the landmark $3.3 billion royalty and tax oil backed pre-payment facility by a consortium of lenders led by the African Export-Import Bank
  • Advised Seplat Energy Plc in connection with a $300 million advance payment facility required to complete the $1.2 billion acquisition of 100% of the shares in Mobil Producing Nigeria Unlimited
  • Advising a leading oil corporation in connection with the segregation and transfer of its midstream assets from one of its upstream subsidiaries to a midstream subsidiary in line with the PIA
  • Advising the Buyer on the circa $860 million acquisition of TotalEnergies E&P Nigeria Limited (TEPNG)’s 10% participatory interest in the SPDC JV
  • Advising one of Nigeria’s largest energy corporations in connection with its procurement of a $1.35 billion facility from an assortment of local and international lenders
